Terms of Service & Acceptable Use Policy

1. Eligibility & Account Responsibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

You are responsible for maintaining the security of your account and any credentials associated with it. You are responsible for all activities that occur under your account.

2. Service Description

Cliyer AI provides a high-performance, private AI inference platform designed for chatting with open-source models. We provide a managed software interface that allows you to interact with various AI architectures. While our backend leverages high-performance third-party infrastructure to process your requests, Cliyer AI is a standalone software service. We do not provide direct access to the underlying hardware, operating system, or compute resources.

3. User-Managed Content & Models

The Service allows you to select and initialize third-party AI models through our managed interface. You acknowledge and agree that:

• Licensing: You are solely responsible for reviewing, understanding, and complying with the specific licenses of any AI models you download (e.g., Meta Llama, Google Gemma, Mistral).
• Third-Party Terms: Your use of a specific model is a direct agreement between you and the model creator. Cliyer AI is not a party to those licenses.
• No Pre-Bundling: Cliyer AI does not grant you any rights or licenses to use third-party model weights.

4. Fees, Chat Usage & Refund Policy

You agree to pay for the use of the Service at the rates specified within the application. Charges are calculated based on the duration of the active inference session (the "Chat Session") required to process your requests and maintain model readiness.

• Session Billing: A Chat Session begins when you initiate a request to a model and ends after a period of inactivity or manual termination.
• Non-Refundable: All fees are based on the successful delivery of the chat environment and are non-refundable except where required by law.
• Infrastructure: Fees are paid to Cliyer AI for the delivery of the chat interface and model outputs, not for the rental of raw hardware or third-party cloud credits.

We reserve the right to suspend or terminate access to the Service if payment is not received when due.

5. Prohibited Activities

You may not use the Service to generate or distribute content that is illegal under applicable law, including but not limited to:

• Child sexual abuse material (CSAM).
• Terrorism-related content.
• Harassment, threats, or incitement to violence.
• Non-consensual intimate imagery.

You also may not:

• Violate the "Acceptable Use Policy" of any model creator (e.g., using Llama 3 for prohibited medical or military applications).
• Attempt to breach the security of the container environment or our infrastructure providers.
• Use the Service in any way that violates the Terms of Service of our underlying providers.

6. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

7. Limitation of Liability

Cliyer AI is a platform provider. We are not liable for:

• The accuracy, legality, or safety of any output generated by the models you choose to run.
• Any copyright infringement resulting from your choice of models or data.
• Service interruptions caused by our upstream providers.

8. Ownership of Output

Between you and Cliyer AI, you own all inputs provided to the Service and all outputs generated by the models you run, subject to the underlying licenses of the third-party models used.

9. Open-Source Models with Reduced Safety Filtering

Because Cliyer AI allows you to route prompts to a wide variety of open-source models, including models with reduced or modified safety filtering, you must acknowledge the following:

• Risk of Sensitive Outputs: These models may generate sensitive, controversial, or inappropriate content. Users should exercise extreme caution and rigorously review generated outputs.
• Not Suitable for All Audiences: Due to limited content filtering on specific models, their outputs may be inappropriate for public settings, underage users, or applications requiring strict safety guarantees.
• Legal and Ethical Responsibilities: You must ensure your usage complies with local laws and ethical standards. Generated content may carry legal or ethical risks, and you are solely responsible for any consequences arising from the use of such models.
• No Default Safety Guarantees: Unlike standard proprietary models, many open-source models available via our platform have not undergone rigorous safety optimization. Cliyer AI acts strictly as a platform provider and bears no responsibility for any consequences, damages, or liabilities arising from the generated content.
• Monitoring and Review: You are strongly advised to monitor model outputs in real-time and conduct manual reviews when necessary to prevent the dissemination of inappropriate content. It is recommended to use these specific models for research, testing, or controlled environments only.

10. Rate Limits & System Protection

We reserve the right to limit, suspend, or throttle usage at any time to protect system stability, prevent abuse, or ensure fair resource allocation among all users.

11. Termination of Service

Cliyer AI reserves the right to suspend or terminate access immediately for violations of these Terms or illegal activity, and otherwise with reasonable notice where practicable.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Kingdom. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.

13. Indemnification

You agree to indemnify, defend, and hold harmless Cliyer AI, its affiliates, and its service providers from and against any claims, damages, liabilities, losses, and expenses (including legal fees) arising out of or related to:

• Your use of the Service.
• Your violation of these Terms.
• Your use of third-party models.
• Any content you generate, upload, or distribute using the Service.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will indicate that changes have been made by updating the "Last Updated" date at the top of these Terms.
